SP Legal Advisors: Real Estate Counsel Without the Billable Hour
SP Legal Advisors is a fixed-fee boutique built for commercial transactions, including real estate transactions. It was founded by Shahram Siddiqui and Carlos R. Piñeiro, two attorneys who spent years inside the capital stack before deciding to build something different.
Both began their careers at a top-tier global law firm, working on some of the most complex real estate and finance transactions in the country. They then moved in-house to one of the largest securitized lenders during the last major downturn, where they saw how the deals they had structured performed when the market turned. Siddiqui went on to advise family offices and work in private practice. Piñeiro became general counsel at a bank and later led securitization at a commercial property lender.
That combination of experience is the foundation of the firm. The partners have not only drafted the documents. They have sat on the business side and lived with the consequences of the decisions those documents produced.
“We have seen the good times and the bad times,” Siddiqui says. “The structure of the real estate market has not changed. People still want to lend money or invest equity, get their return, and go home. The question is how you get there.”
That perspective shaped the firm’s approach. Most clients approach legal counsel as a cost center. They avoid calling their lawyer because they fear the hourly bill, and they end up dealing with problems that could have been addressed earlier at a fraction of the cost. Siddiqui and Piñeiro built SP Legal Advisors around the opposite model.
The firm offers fixed fees for deals, with optional breakage fees if the scope changes. Some clients pay a flat monthly fee for ongoing access. The point is to remove the uncertainty that keeps clients from picking up the phone.
“We do not want clients to avoid calling us because they are concerned about the bill,” Siddiqui says. “That is the whole reason we built the firm this way.”
The result is a different kind of working relationship. Clients bring the firm into transactions earlier, when advice can still change the outcome. The lawyers learn the client’s business, not just the deal in front of them. Over time, that makes the advice faster and more useful, because the context is already there.
SP Legal Advisors focuses on real estate capital markets, private equity and private credit, partnerships and preferred equity, debt financing, and sponsor-side matters. The firm also works with Delaware statutory trusts, 1031 exchanges, and direct investment programs. Siddiqui and Piñeiro advise both capital providers and sponsors, which gives them a view of the same transaction from multiple sides.
The firm is direct about what it does not do. It does not handle back-end securities compliance or litigation. Where those needs arise, it partners with firms that specialize in them and continues to support the client on the corporate side. The partners describe this as a realistic assessment of capability rather than a limitation. Clients get the specialized service they need without losing the relationship that holds the matter together.
What separates the firm is not the fee structure alone. It is what the fee structure makes possible. When clients are not afraid to call, they get advice earlier. When advice arrives earlier, problems are smaller. When problems are smaller, deals close on better terms.
Siddiqui describes the firm’s value proposition in plain terms. Clients get experienced counsel who understand the business, not just the documents. They get executable recommendations, not a menu of theoretical options. They get a legal partner whose interests align with the outcome of the deal, not the number of hours it takes to get there.
SP Legal Advisors is not the cheapest firm in the market, and it does not position itself that way. It positions itself as a boutique alternative for clients who value judgment built from experience on both sides of the table.
